We certify that the above is true and correct and this firm will comply with all terms and conditions of 1114567 Ontario Limited We have read and accept that 1114567 Ontario Limited policies and procedures (Schedule A) form part of the present conditions.
It is understood that all invoices for the products are guaranteed as to their payment by the individual signing the present credit application on behalf of the purchaser.
We authorise 1114567 Ontario Limited to contact our bank and the trade references mentioned above for credit reference purposes.


 

SCHEDULE «A»

1. These conditions apply to all orders of products and services (the “Product”) unless otherwise amended in writing and signed by the parties;

2. These conditions constitute the entire agreement between the parties and no amendment thereto will be valid unless agreed to in writing and signed by 1114567 Ontario Limited;

3. 1114567 Ontario Limited will ship the Product ordered before 6:00 p.m. eastern time on the same day. Orders received later than 6:00 p.m. eastern time will be shipped on the following working day. Late shipments will be valid unless the Purchaser (the “Purchaser) has forwarded to 1114567 Ontario Limited a 5 day prior written notice to remedy its default. In no event will 1114567 Ontario Limited be responsible for damages resulting from late shipment of the Product;

4. Payment of the purchase price of the product will be due upon delivery unless stated otherwise on the invoice and by the credit department. overdue amount bear interest rate of 18% per annum

5. 1114567 Ontario Limited provides a non-transferable lifetime warranty (the “Warranty”) for the Product, unless otherwise stated on Purchaser’s copy of the sales invoice (the “Invoice”). This warranty period shall commence on the date of purchase, as appears on the Invoice. This Warranty does not extend to any Product the usefulness of which has been diminished: (a) as a result of negligence by the Purchaser, or (b) by the modification of the Product, or (c) as a result of servicing other than by 1114567 Ontario Limited;

6. Prior to return of the Product, the Purchaser shall obtain an RMA authorization number (the “RMA”). The Purchaser and Product information are required in order to process an RMA. The RMA may be obtained by telephone or fax and is valid for a period of thirty (30) days. The issuing of an RMA is without prejudice to the right of 1114567 Ontario Limited to refuse any return of Product not conforming to appropriate procedures or which is improperly packaged, marked or physically damaged. The Warranty provided herein shall be limited to labour and replacement of Product and in no event will 1114567 Ontario Limited be held liable for any other damages, acts, or omissions on its part;

7. 1114567 Ontario Limited will retain ownership of the Product until all outstanding amounts due by the Purchaser are paid in full. The Product will remain moveable property notwithstanding its incorporation in another moveable. 1114567 Ontario Limited shall have the option of crediting or varying the credits of payments on account made by the Purchaser on outstanding invoices as determined by 1114567 Ontario Limited;

8. The Purchaser will not sell, lease, pledge or otherwise dispose of the Product until it has acquired full ownership thereof, except in the ordinary course of business. Moreover, the Purchaser shall keep the Product in good state of repair and shall not modify it in any way;

9. In the event that the Purchaser fails to pay the price, becomes insolvent or otherwise avails itself of the provisions of any bankruptcy or insolvency legislation, 1114567 Ontario Limited at its option may repossess and dispose of the Product, crediting the Purchaser with the proceeds of the sales following deduction of expenses;

10. The Purchaser authorizes 1114567 Ontario Limited to verify its solvency and financial status and shall cooperate with 1114567 Ontario Limited and furnish such documents as 1114567 Ontario Limited may reasonably require;

11. All transactions between the parties shall be governed by the laws applicable in the Province of Ontario;

12. The Purchaser hereby authorizes 1114567 Ontario Limited to obtain from any third party all information regarding the present credit application and authorizes said third party to communicate same to 1114567 Ontario Limited
